1. About Invoflux

Invoflux provides AI-powered invoice ingestion, processing, and financial automation tools ("the Service").

2. Eligibility & Account Registration

You must be at least 18 years old and authorized to act on behalf of the company you register. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Description of Service

Invoflux allows you to collect invoices via email, cloud storage, WhatsApp, and manual uploads; extract and organize data; and manage financial information. The Service is provided on a best-effort basis and may evolve over time.

4. User Responsibilities

You agree to:

• Provide accurate and complete information
• Upload only documents you are authorized to process
• Comply with all applicable laws and regulations
• Use the Service for lawful business purposes only

You must not:

• Upload malicious content or attempt to compromise the Service
• Reverse-engineer, decompile, or disassemble the Service
• Process data unlawfully or in violation of third-party rights

5. AI-Generated Data & Disclaimer

AI-generated outputs may contain inaccuracies. You are responsible for reviewing and verifying all extracted data before relying on it. Invoflux does not provide accounting, tax, or legal advice.

6. Subscriptions, Billing & Payments

Subscriptions renew automatically unless canceled before the renewal date. All fees are non-refundable unless legally required. Non-payment may result in suspension or termination of your account.

7. Referral & Affiliate Program

If you share a referral or affiliate link, the terms below apply. The specific reward is shown on your Invite & earn page and varies by program; these terms govern how it is earned and paid.

Attribution. Credit is first touch. The first referral link a new account arrives through is the one that earns, and it is locked when that account signs up. The referral cookie lasts 30 days from the click.

What counts as a conversion. A referral qualifies when the invited company pays a real subscription invoice within the qualifying window shown on your Invite & earn page (60 days from signup for current programs). A signup, a trial, or an unpaid invoice does not qualify.

Revenue share. Where a program pays a percentage of the referred company's payments, commission accrues on each payment they make, for the number of billing periods stated in the program. Commission is calculated on the amount paid, excluding tax.

Payment and holding period. Commission is held for 30 days after it accrues before it can be paid, so that refunds and disputes can be settled first. Payouts are prepared manually in batches and sent by bank transfer, in the currency in which the commission was earned. There is currently no minimum payout amount. You are responsible for any taxes on what you receive.

When commission is reduced or lost. If a payment is refunded, the commission on it is reduced in proportion to the refund, and a full refund removes it entirely. If a payment is disputed, commission on it is frozen until the dispute is resolved and removed if the dispute is lost. Commission already paid out when this happens may be offset against future payouts.

Fair use. You may not refer yourself, sign up through your own link using another address, buy paid advertising on our brand name, offer cash rebates for signups, or use spam or misleading claims. A program may cap how many times a single code can be redeemed. We may withhold or reverse rewards obtained this way, and close the account behind them.

Changes. We may change or end a referral program at any time. Rewards already earned under the terms in force at the time are honoured.

8. Data Ownership & License

You retain full ownership of your data. By using the Service, you grant Invoflux a limited, non-exclusive license to process your data solely to provide the Service. We do not sell your data or use it for advertising purposes.

9. Data Protection & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, process, store, and delete your data.

10. Third-Party Integrations

The Service may integrate with third-party services (e.g., Google, Microsoft, Salt Edge). Your use of these integrations is subject to their respective terms. Invoflux is not responsible for the availability or data handling of third-party services.

11. Service Availability & Changes

We aim for high availability but do not guarantee uninterrupted access. The Service may be modified, updated, or discontinued at any time with reasonable notice.

12. Termination

You may cancel your account at any time. Invoflux may terminate or suspend your account for violations of these Terms, non-payment, or legal obligations. Upon termination, you may request deletion of your data.

13. Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Invoflux excludes liability for loss of profits, AI inaccuracies, and indirect or consequential damages. Our total liability is capped at the fees you have paid in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Invoflux harmless against any claims arising from your use of the Service, content you upload, or violations of these Terms or applicable law.

15. Intellectual Property

All software, branding, and content of Invoflux are protected by intellectual property laws. Unauthorized copying, modification, or redistribution is prohibited.

16. Governing Law & Jurisdiction

These Terms are governed by EU law and the applicable local jurisdiction. Any disputes shall be resolved in the competent courts of Cluj-Napoca, Romania.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms. We will notify you of significant changes by email or through the application.
